Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Platform.

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.

ValueExchange provides a financial operations and revenue management platform.

We provide

Financial data aggregation and reconciliation

Revenue tracking and reporting

Workflow automation

Integrations with banking, accounting, and payment systems

We do not provide

Banking services

Investment advice

Custody of funds

Account Registration & Responsibilities

By creating an account, you agree to:

Provide accurate and complete information

Maintain confidentiality of your login credentials

Be responsible for all activities under your account

You must notify us immediately of any unauthorized access or suspected breach of your account.

Use of the Platform

You agree not to:

Use the Platform for unlawful or fraudulent activities

Reverse engineer, copy, or misuse the software

Interfere with platform security or performance

Upload malicious code or harmful data

Process data without proper rights or consent

We reserve the right to suspend or terminate accounts that violate these Terms.

Data & Integrations

Your data

You retain ownership of all data you upload or connect ("User Data"). You grant us a limited license to process, store, and analyze User Data solely to provide and improve the Platform.

Third-party integrations

The Platform may connect to third-party services (e.g., banks, payment gateways, accounting tools). By enabling integrations, you authorize us to access and process data from those services, and you agree to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of third-party services.

Fees & Payments

Certain features may be subject to fees

Pricing will be communicated separately or on the Platform

Fees are non-refundable unless stated otherwise

Failure to pay may result in suspension of services.

Intellectual Property

All rights, title, and interest in the Platform (excluding User Data) remain with ValueExchange. You may not copy, modify, or distribute our software or content, or use our branding without prior written permission.

Confidentiality

Both parties agree to protect confidential information shared during use of the Platform and not to disclose it without consent, except where required by law.

Disclaimers

"as is" · "as available"

The Platform is provided without warranties of any kind. We do not guarantee:

Accuracy of financial outputs or reports

Continuous or error-free operation

Compatibility with all third-party systems

You are responsible for verifying all outputs before relying on them for business decisions.

Limitation of Liability

To the maximum extent permitted by law:

Liability for indirect, incidental, or consequential damages

Cap — total liability shall not exceed fees paid in the past 12 months

Suspension & Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or to comply with legal requirements.

You may stop using the Platform at any time. Termination does not affect rights or obligations that arose prior to termination.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.

Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
